The newly formed joint venture is poised to bolster Lionsgate’s ongoing diversification efforts, particularly supporting entities like 3 Arts and other emerging business initiatives. For Steven Paul’s SP Media, this partnership provides a powerful distribution pipeline for its upcoming slate of independent feature films, ensuring a wider reach through Lionsgate’s established network. While SP Media is injecting capital into specific Lionsgate ventures, it’s important to note that this is not an overall minority investment in Lionsgate itself, but rather a co-financing arrangement within the new collaborative framework.
Steven Paul, a veteran in the entertainment industry, brings a wealth of experience to the table as the chairman, founder, and CEO of Crystal Sky Pictures and SP Media Group. His impressive track record includes overseeing successful franchises such as Baby Geniuses, the Nicolas Cage-led Ghost Rider films, Scarlett Johansson’s Ghost in the Shell, and the Lionsgate-distributed Rambo: Last Blood. This history underscores Paul's deep understanding of film production and distribution, making him a fitting partner for Lionsgate’s strategic expansion.
Lionsgate CEO Jon Feltheimer expressed enthusiasm for the alliance, highlighting Paul's entrepreneurial spirit. "Steven is a savvy and experienced entrepreneur who has a longstanding relationship with our studio, and I’m pleased to partner with him across multiple touchpoints of our business," Feltheimer stated. He further emphasized that Paul’s investment would be instrumental in driving the continued growth of Lionsgate’s valuable assets.
Echoing this sentiment, Steven Paul lauded Lionsgate’s dynamic presence in the media landscape. "Lionsgate is one of the most dynamic and entrepreneurial content studios in the media space today," Paul commented, expressing his eagerness to build on his relationship with Feltheimer and the Lionsgate team to capitalize on industry opportunities.
Beyond his production endeavors, Paul, alongside SP Media Group President & COO Scott Karol, has also been involved in legislative efforts, working with lawmakers on bipartisan legislation aimed at establishing a U.S. film and TV tax credit. His past business ventures also include an attempt to lead an investor group in a $2.25 billion offer for National Amusements Inc., the holding company controlling Paramount’s voting stock, during Skydance’s pursuit of Paramount in 2024.
The deal's negotiation for Lionsgate was led by COO Brian Goldsmith, EVP & General Counsel Bruce Tobey, and Senior VP Corporate Development Suzy Felfeli. Scott Karol represented SP Media in the discussions. Financial advisory services were provided by Moelis for Lionsgate and Lazard for SP Media, with Paul Hastings LLP handling legal representation for SP Media.
This partnership arrives at a notable time for Lionsgate, which recently received a takeover offer from Legendary. However, sources close to the matter clarified to Deadline that no formal acquisition process is currently underway, suggesting the joint venture with SP Media operates independently of any broader M&A considerations. This strategic move reinforces Lionsgate’s commitment to internal growth and diversification, leveraging Paul’s investment and production expertise.
